Introduction And Acceptance Of Terms
These Terms and Conditions (“Terms”) govern access to and use of the LegiDesk website, web application, dashboards, tools, modules, and any related or ancillary services, features, or functionalities made available from time to time (collectively, the “Platform”), operated by LegiDesk (“LegiDesk”, “we”, “us”, or “our”). The Platform provides technology-enabled tools intended to assist users in the organization, management, monitoring, and administration of intellectual property portfolios and related information.
By accessing, registering on, or using the Platform in any manner, whether individually or on behalf of an organization, the user (“you” or “User”) acknowledges that they have read, understood, and agree to be bound by these Terms, the Privacy Policy, and any other policies, guidelines, or notices published by LegiDesk from time to time. If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between you and LegiDesk. Where the Platform is accessed or used on behalf of an entity, the individual accessing the Platform represents that they have the authority to bind such entity to these Terms, and such entity shall be deemed the User for all purposes. Continued access to or use of the Platform shall constitute ongoing acceptance of these Terms, including any modifications made in accordance with these Terms.
Definitions And Interpretation
For the purposes of these Terms, unless the context otherwise requires, capitalized terms shall have the meanings assigned to them herein. Words importing the singular shall include the plural and vice versa, and words importing any gender shall include all genders. Headings are used for convenience only and shall not affect the interpretation of these Terms.
An “Account” means a registered user account created on the Platform to access and use the services made available by LegiDesk. “Applicable Law” means all laws, statutes, rules, regulations, notifications, guidelines, and governmental directions applicable within India, including, without limitation, laws relating to information technology, data protection, intellectual property, cyber security, and contractual obligations, together with any amendments, reenactments, or replacements thereof.
“Confidential Information” means any non-public, proprietary, sensitive, or legally protected information, including intellectual property data, business information, client records, legal documents, and communications. “Platform” means the LegiDesk website, web application, dashboards, modules, tools, interfaces, and related digital services, including any updates, enhancements, or additional functionalities introduced from time to time. “Services” means the technology-based services provided through the Platform for administrative, organizational, and workflow support relating to intellectual property management.
“User Content” means any data, records, documents, information, or materials uploaded, stored, generated, transmitted, or shared by users through the Platform. The terms “User”, “you”, or “your” refer to any individual or legal entity accessing or using the Platform, including authorized users, clients, collaborators, or representatives of an organization. Unless expressly stated otherwise, references to specific features, services, or categories of functionality in these Terms are illustrative and not exhaustive.
Eligibility And Account Registration
The Platform may be accessed and used only by individuals who are at least eighteen (18) years of age and who are legally competent to enter into a binding contract under Applicable Law. Where the Platform is accessed on behalf of an organization, access shall be limited to duly authorized representatives who satisfy this eligibility requirement.
To access certain features or services, users may be required to create and maintain an Account and provide accurate, complete, and current information during registration. Users are responsible for ensuring that all registration and account information remains accurate and up to date and for maintaining the confidentiality of their login credentials. All activities carried out through an Account shall be deemed to have been undertaken by the User.
LegiDesk reserves the right, at its sole discretion, to refuse registration, suspend, restrict, or terminate any Account where it reasonably believes that the information provided isinaccurate or misleading, that the Account is being misused, or that continued access may pose legal, regulatory, security, or operational risks to the Platform or other users.
Nature Of Services And Platform Role
LegiDesk operates solely as a technology service provider offering a digital platform designed to facilitate the organization, administration, and monitoring of intellectual property–related information. The Platform provides administrative, organizational, and workflow tools and does not provide legal advice, legal opinions, filing services, representation, or professional consultancy of any kind.
Nothing on the Platform shall be construed as legal advice, and use of the Platform does not create an attorney–client relationship, fiduciary relationship, or any other professional relationship between LegiDesk and any user. Users acknowledge that intellectual property laws and procedures may vary across jurisdictions and that they remain solely responsible for obtaining independent legal or professional advice and for ensuring compliance with Applicable Law.
LegiDesk does not verify, validate, or guarantee the accuracy, completeness, timeliness, or legal sufficiency of any User Content or information managed through the Platform. Any actions taken, decisions made, or reliance placed on information stored, tracked, or generated through the Platform are undertaken entirely at the user’s own risk.
While LegiDesk designs and maintains the Platform in good faith and, to the best of its knowledge, with due regard to generally applicable legal and regulatory frameworks, including intellectual property laws, LegiDesk does not guarantee any legal, procedural, or commercial outcome, including the filing, registration, renewal, validity, enforceability, or protection of any intellectual property right. The Platform functions strictly as a technological facilitation tool, and all filings, deadlines, actions, and outcomes remain the sole responsibility of the user.
Service Availability, Modifications, And Downtime
LegiDesk endeavours to make the Platform available on a continuous basis; however, the Platform is provided on an “as available” basis and uninterrupted or error-free access is not guaranteed. Access to the Platform may be temporarily suspended, restricted, or interrupted due to scheduled maintenance, system upgrades, updates, technical issues, security incidents, or circumstances beyond the reasonable control of LegiDesk.
LegiDesk reserves the right, at its discretion, to modify, update, enhance, suspend, limit, or discontinue any aspect of the Platform, including features, functionalities, modules, or services, whether temporarily or permanently. Such changes may be implemented to improve performance, address security or compliance requirements, respond to operational needs, or reflect changes in business or technology. LegiDesk shall not be liable for any loss, inconvenience, or disruption arising from modifications to, or unavailability of, the Platform.
Users acknowledge that access to and use of the Platform may depend on factors outside LegiDesk’s control, including internet connectivity, device compatibility, software configurations, and third-party services. LegiDesk shall not be responsible for any failure, delay, or interruption in access caused by such factors.
User Accounts, Access Controls, And Security
Access to certain features of the Platform requires the creation and maintenance of an Account. Users are responsible for safeguarding their Account credentials and for all activities carried out through their Account, whether authorized or unauthorized. LegiDesk shall not be liable for any loss or damage arising from a user’s failure to maintain the confidentiality or security of their login credentials.
The Platform may provide role-based access controls that enable account holders to grant, restrict, or revoke access to authorized users, clients, or collaborators. Users are solely responsible for managing access permissions and for ensuring that access rights are granted only to individuals who are duly authorized and informed of their obligations under these Terms.
While LegiDesk implements reasonable security measures designed to protect the Platform and user Accounts, users acknowledge that no system is entirely immune from security risks.LegiDesk reserves the right to suspend, restrict, or terminate access to any Account where it reasonably believes that there has been unauthorized access, misuse, or a threat to the security or integrity of the Platform.
Permitted Use And Restrictions
Users may access and use the Platform solely for lawful purposes and in accordance with these Terms and Applicable Law. The Platform may be used only for legitimate intellectual property management, administrative, and organizational activities and in a manner consistent with applicable legal and regulatory requirements.
Users shall not misuse the Platform or engage in any activity that interferes with its operation or security. This includes, without limitation, attempting to gain unauthorized access to the Platform or its systems, probing or testing vulnerabilities, bypassing security measures, introducing malicious code, infringing the intellectual property or privacy rights of others, or using the Platform in a manner that could damage, disable, overburden, or impair the Platform or its services.
LegiDesk reserves the right to investigate any suspected violation of these Terms and to take appropriate action, including suspension or termination of access, where necessary to protect the Platform, its users, or LegiDesk’s legal and commercial interests.
User Obligations And Security Responsibilities
Users represent and warrant that all information and content provided to or processed through the Platform is accurate, complete, lawful, and up to date, and that they have all necessary rights, permissions, and authority to upload, store, process, or share such information. Users remain solely responsible for the legality, integrity, and consequences of all User Content.
Users shall take reasonable measures to secure their access to the Platform, including protecting login credentials, managing access permissions, and promptly notifying LegiDesk of any suspected unauthorized access, security breach, or misuse of their Account.
Users agree to access and use the Platform in strict compliance with all Applicable Laws, including laws relating to intellectual property, data protection, confidentiality, cyber security, and contractual obligations. Compliance with jurisdiction-specific intellectual property laws, filing requirements, deadlines, and procedural rules remains the sole responsibility of the user.
LegiDesk shall not be responsible or liable for any loss, damage, or consequence arising from a user’s failure to comply with these Terms or Applicable Law, including failures relating to account security, unauthorized access, misuse of the Platform, or non-compliant User Content. LegiDesk has no obligation to monitor or verify user compliance and shall not be liable for outcomes resulting from such non-compliance.
User Content And Data Ownership
All data, records, documents, information, and content uploaded, stored, generated, or managed by users through the Platform (“User Content”) shall remain the property of the respective user or the applicable rights holder. Nothing in these Terms shall be construed as transferring ownership of User Content to LegiDesk.
By uploading or providing User Content on the Platform, users grant LegiDesk a limited, non-exclusive, non-transferable, royalty-free license to host, store, process, transmit, display, and otherwise use such User Content solely to the extent reasonably necessary to operate, maintain, secure, and provide the Platform in accordance with these Terms. This license does not permit LegiDesk to use User Content for any independent commercial purpose.
Users represent and warrant that they have all necessary rights, permissions, and authority to upload, use, and process User Content on the Platform and that such User Content does not violate Applicable Law or the rights of any third party. LegiDesk does not verify, endorse, or assume responsibility for the accuracy, legality, completeness, or reliability of any User Content and shall not be liable for any consequences arising from such content.
Confidentiality And Protection Of Information
Users acknowledge that, in connection with their use of the Platform, they may access, store, or disclose information that is confidential, proprietary, or legally protected in nature,including intellectual property data, business information, client records, and privileged communications. Users agree to maintain the confidentiality of such information and to use it solely for lawful purposes permitted under these Terms.
LegiDesk shall implement reasonable technical and organizational measures to protect information processed through the Platform in accordance with its Privacy Policy and Applicable Law. Access to confidential information within the Platform is governed by role-based access controls and internal safeguards designed to reduce the risk of unauthorized disclosure.
Neither party shall disclose confidential information to any third party except where such disclosure is permitted under these Terms, required by Applicable Law, or authorized by the disclosing party. The confidentiality obligations under this clause shall survive suspension or termination of these Terms.
Intellectual Property Rights Of Legidesk
All intellectual property rights in and to the Platform, including its software, source code, databases, architecture, designs, interfaces, trademarks, logos, trade names, and documentation, are and shall remain the exclusive property of LegiDesk or its licensors. Except for the limited right to access and use the Platform in accordance with these Terms, no rights, title, or interest in the Platform or its intellectual property are granted to users.
Users shall not copy, reproduce, modify, distribute, publicly display, reverse engineer, decompile, disassemble, or create derivative works of the Platform or any part thereof, except to the extent expressly permitted under Applicable Law. Any unauthorized use of the Platform or LegiDesk’s intellectual property may result in suspension or termination of access and may expose the user to civil or criminal liability.
Fees, Subscriptions, And Payments
Access to certain features, modules, or services of the Platform may be subject to payment of fees in accordance with subscription plans, pricing structures, or commercial terms communicated by LegiDesk from time to time. Users agree to pay all applicable fees accurately and in a timely manner in accordance with the payment terms in effect at the time of subscription or purchase.
LegiDesk reserves the right to revise pricing, subscription plans, or fee structures upon prior notice, except where restricted by Applicable Law. Unless otherwise expressly stated or required by law, all fees paid are non-refundable. Failure to make timely payment may result in suspension, restriction, or termination of access to the Platform, without prejudice to LegiDesk’s other rights and remedies.
Payments may be processed through third-party payment service providers, and users acknowledge that LegiDesk does not control and shall not be responsible for any errors, delays, failures, or disputes arising from such third-party payment services.
Third-Party Services And Integrations
The Platform may enable access to, or integration with, third-party services, applications, tools, platforms, or infrastructure that are not owned, operated, or controlled by LegiDesk. Such third-party services may include, without limitation, cloud hosting providers, payment gateways, communication tools, analytics services, government or registry portals, and other external systems used in connection with the Platform.
LegiDesk does not control and makes no representations or warranties regarding the availability, performance, accuracy, security, content, or data handling practices of any third-party services. Any interaction, transaction, or data exchange between a user and a third-party service is governed solely by the terms and policies of such third party, and users access or rely upon such services entirely at their own risk.
LegiDesk shall not be liable for any loss, damage, disruption, delay, data compromise, or other consequence arising from or attributable to a user’s access to, use of, or reliance upon any third-party service, including any acts, omissions, errors, failures, or interruptions caused by such third parties. Integration with a third-party service does not constitute an endorsement, approval, or recommendation by LegiDesk.
Audit And Compliance Cooperation
Where required by Applicable Law, contractual commitments, or enterprise compliance obligations, users agree to reasonably cooperate with LegiDesk in connection with audits, compliance reviews, or regulatory inquiries relating to the use of the Platform. Such cooperation may include providing information necessary to verify compliance with these Terms or applicable legal requirements.
Any audit or compliance-related activity shall be conducted in a manner that minimizes disruption to the Platform and preserves the confidentiality, security, and integrity of user data and proprietary information. Nothing in this clause shall require LegiDesk to disclose confidential information, trade secrets, or proprietary materials except to the extent required under Applicable Law or binding contractual obligations.
Suspension And Termination Of Access
LegiDesk reserves the right, at its sole discretion, to suspend, restrict, or terminate a user’s access to the Platform, in whole or in part, with or without prior notice, where LegiDesk reasonably believes that the user has violated these Terms, failed to make required payments, engaged in unlawful or unauthorized activity, posed a security risk, or used the Platform in a manner that may result in legal, technical, operational, or reputational harm to LegiDesk or other users.
Upon suspension or termination, the user’s right to access and use the Platform shall immediately cease. LegiDesk shall not be liable for any loss, damage, or consequence arising from such suspension or termination, including loss of access to data, interruption of business activities, or inability to retrieve User Content.
Following suspension or termination, LegiDesk may retain, archive, or delete User Content and account-related data in accordance with its Privacy Policy, Applicable Law, and internal data retention practices. Users acknowledge that access to User Content may no longer be available after termination and that LegiDesk has no obligation to retain such content except as required for legal, regulatory, audit, or dispute resolution purposes.
Disclaimers And Warranties
The Platform and all services, features, and functionalities are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by Applicable Law, LegiDesk expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, and uninterrupted or error-free operation.
LegiDesk does not warrant that the Platform will meet all user requirements, that access will be continuous or secure, that defects will be corrected, or that the Platform will prevent errors, delays, missed deadlines, or data loss. Users acknowledge that reliance on the Platform, including alerts, reminders, reports, dashboards, or tracking features, is at their own discretion and risk.
Without limiting the foregoing, LegiDesk does not warrant or guarantee any legal, regulatory, procedural, or commercial outcome arising from use of the Platform, including the filing, registration, renewal, maintenance, enforcement, or protection of any intellectual property rights. All decisions, filings, actions, and compliance obligations remain the sole responsibility of the user.
Limitation Of Liability
To the maximum extent permitted by Applicable Law, LegiDesk shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of goodwill, loss of data, business interruption, reputational harm, or any other commercial or economic loss, arising out of or in connection with the access to, use of, or inability to use the Platform or services, even if LegiDesk has been advised of the possibility of such damages.
Without limiting the foregoing, LegiDesk shall not be liable for any loss or consequence arising from missed deadlines, filings, renewals, responses, or statutory actions, reliance on reminders, alerts, reports, dashboards, or tracking features, inaccuracies or incompleteness inUser Content, user error, third-party failures, downtime, service interruptions, or events beyond LegiDesk’s reasonable control.
To the extent permitted by Applicable Law, the aggregate liability of LegiDesk for all claims arising out of or relating to these Terms or the use of the Platform, whether in contract, tort, negligence, strict liability, or otherwise, shall be limited to the total fees actually paid by the user to LegiDesk for the relevant subscription period immediately preceding the event giving rise to the claim. Nothing in these Terms shall exclude or limit liability to the extent such exclusion or limitation is prohibited under Applicable Law.
Indemnity
The user agrees to indemnify, defend, and hold harmless LegiDesk, its affiliates, directors, officers, employees, and agents from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or relating to the user’s access to or use of the Platform, violation of these Terms, breach of Applicable Law, infringement of any third-party rights, misuse of the Platform, or any User Content uploaded, stored, or shared through the Platform.
LegiDesk reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case the user agrees to cooperate fully with LegiDesk in asserting any available defenses and resolving the matter.
Force Majeure
LegiDesk shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, governmental actions, changes in law, war, civil unrest, strikes, labor disputes, power failures, internet or telecommunications disruptions, cyber incidents, or failures of third-party service providers.
During the continuance of a force majeure event, LegiDesk’s obligations under these Terms shall be suspended to the extent affected by such event, and LegiDesk shall resume performance as soon as reasonably practicable after the cessation of the force majeure event.
Governing Law And Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
Subject to Applicable Law, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the services, including their interpretation, validity, or enforcement, shall be subject to the exclusive jurisdiction of the competent courts in India.
Grievance Redressal Mechanism
In accordance with Applicable Law, LegiDesk has established a grievance redressal mechanism to address user complaints, concerns, or queries relating to the use of the Platform or these Terms. Users may raise grievances through the contact details made available on the Platform or as otherwise communicated by LegiDesk from time to time.
LegiDesk shall make reasonable efforts to acknowledge and address grievances within the timelines prescribed under Applicable Law. Users are encouraged to provide complete, accurate, and relevant information while submitting grievances to facilitate effective review and resolution. The grievance redressal mechanism is intended to address issues relating to Platform use and compliance and does not limit or prejudice any other rights or remedies available to LegiDesk under these Terms or Applicable Law.
Amendments And Modifications
LegiDesk reserves the right to modify, amend, or update these Terms at any time to reflect changes in Applicable Law, regulatory requirements, business practices, technological developments, or the nature of the Platform or services offered.Any amendments to these Terms shall become effective upon publication on the Platform, unless otherwise stated. Continued access to or use of the Platform after the effective date of any modifications shall constitute acceptance of the revised Terms. Users are advised to review these Terms periodically to remain informed of any updates.
Miscellaneous Provisions
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court, such provision shall be severed, and the remaining provisions shall continue in full force and effect. The failure of LegiDesk to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless expressly stated in writing.
Users may not assign, transfer, or delegate their rights or obligations under these Terms without the prior written consent of LegiDesk. LegiDesk may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, or transfer of assets, without restriction.
These Terms, together with the Privacy Policy and any other policies or notices referenced herein, constitute the entire agreement between the user and LegiDesk in relation to the use of the Platform and supersede all prior or contemporaneous understandings or agreements, whether written or oral. Provisions which by their nature are intended to survive termination, including intellectual property, confidentiality, limitation of liability, indemnity, governing law, and dispute resolution, shall survive termination of these Terms.
All notices, communications, or information provided by LegiDesk to users under these Terms may be delivered electronically, including by email, platform notifications, or publication on the Platform, and such electronic communications shall be deemed legally valid and effective. Users are responsible for ensuring that their registered contact details remain accurate and up to date. In the event of any inconsistency between these Terms and the Privacy Policy, these Terms shall prevail to the extent of such inconsistency, unless otherwise required under Applicable Law.
